Company Formation Service

Holden Associates will obtain a UK Limited Company for you through a reputable Company Registration Agent, or you can form your own UK Limited Company with our online UK Limited Company formations service.

The process itself is reasonable straight forward as can be seen below:

  1. Chose a name, avoiding such words as British, Royal, National or slang. Contact us and we will search the register to see if it is already in use. If it is not, then we will apply for registration and the name can be on the companies register within 3  hours.
  2. Select the directors and company secretary* (* no longer a requirement under the Companies Act 2006). There are potentially any number of directors and one company secretary*. Many small companies have just one director and one secretary* (who cannot be the same person in that case). Many other companies have two directors, one of whom is the company secretary*. The company secretary will be responsible for ensuring the company’s compliance with company law. He or she does not necessarily do all the typing!
  3. We will either send you paper forms to complete which allow registration of the director(s) and secretary at Companies House or we can appoint them during incorporation, however, additional personal information will be required to comply with the security aspects surrounding this method, although it is our recommended method. For paper form appointment, this should be done within 14 days of registration.
  4. Your company year end will be the anniversary of the last day of the month in which the company is incorporated. You may change this if you wish (once within a five year period). We will send you a form, if needed.
  5. You must notify Companies House of your chosen registered office which is the normal address for all important legal notices, it can be your home address or if you have premises your business address. We will provide a form to allow you to notify Companies House.
  6. You must issue shares in the company. You may issue as many as you want up to the authorised maximum of your company. Ordinary shares are usually issued but other forms of shares exist which allow flexibility in determining the ownership and rights to profits (and losses) in the company.
  7. You will be issued with a standard Articles of Association unless there are any unusual rules you wish to introduce to govern the running of your company. If there are, you must tell us at Step 1.
  8. You must have your first directors meeting and we will provide standard Minutes of matters which must be dealt with in this meeting.
We now deal with much of the above electronically directly with Companies House, this is our preferred method, not only because it is quick and efficient but it is also now more secure than the traditional methods.
